These Terms of Use ("Terms") govern your use of the PAWSspan app, the VetNutriLab.com and vetnexus.com websites, the VetNexus clinic console, and the plans, information and other materials we make available through them (together, the "Services"). The Services are operated by VetNexus, Inc. ("VetNexus," "we," "us"). By using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Services.
1. Veterinary practices are governed separately
If you use the clinic console on behalf of a veterinary practice, the practice's written agreement with VetNexus also applies. If that agreement conflicts with these Terms, the signed agreement controls.
2. Who may use the Services
The Services are intended for people 18 or older. If you use them on behalf of an organization, such as a veterinary practice, you confirm you are authorized to accept these Terms for it. You are responsible for keeping your sign-in details secure and for activity under your account.
3. Nutrition guidance, not veterinary care
The Services give general nutrition guidance based on the information you provide about your pet. They are not a substitute for your veterinarian, and they do not diagnose, treat or prescribe. Using them does not create a veterinarian–client–patient relationship with VetNexus.
- A plan is only as good as the information behind it. Tell us accurately about your pet, and update us when things change.
- Where your pet has a diagnosed condition, is under 12 months old, or is pregnant or nursing, a plan is marked as needing your veterinarian's review. Follow that advice.
- We do not recommend prescription or therapeutic diets. Those are for your veterinarian.
- Change your pet's food gradually, as the plan describes, and contact your veterinarian if your pet shows signs of illness.
- In an emergency, contact your veterinarian or an emergency animal hospital immediately. Do not wait for the Services.
4. How plans are made, and how we are paid
Foods are ranked on nutritional fit to your pet's profile alone. No brand pays for placement or ranking. If you buy through a link in the Services, we may earn a commission — that happens after ranking and never changes it.
Food information comes from manufacturers' labels and published sources. Manufacturers change their products, and we may not have caught every change. Check the label of the bag you buy. Prices and availability are indicative and set by the retailer.
5. Recall notices
We send notices about recalls affecting foods you tell us you feed, free, for as long as you have an account. We depend on public recall announcements and on what you have told us, so we cannot promise to catch every recall or to reach you before you hear of it elsewhere. Always follow the manufacturer's and regulator's instructions.
6. [Subscriptions and payment]
[To be written when paid plans are offered: price, billing period, renewal, how to cancel, refunds, price changes with notice, and what happens to the pet's record if a subscription ends. Canceling must be as easy as subscribing.]
7. Your content
You keep ownership of the information, notes and photos you add ("Your Content"). You give us permission to store, process and display Your Content to provide the Services to you, to share it with your veterinary practice if you choose to, and, in de-identified form, to use it for research if you consent — each as described in our Privacy Policy. You confirm you have the right to share what you add.
8. Our content and your license to use it
The Services and their content — including plans, explanations, food and breed information, graphics, logos, and the VetNexus, VetNutriLab and PAWSspan names — are owned by VetNexus or its licensors and protected by intellectual property laws. Photos and other material from third parties are credited and remain theirs.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services and your pet's plan for your own personal, non-commercial use. You may share your pet's plan with your veterinarian, family or carers. You may not sell, republish as your own, or modify our content, or remove any copyright or other notices.
9. Acceptable use
You agree not to:
- use the Services in violation of any law;
- attempt to gain unauthorized access to the Services or the systems behind them, or interfere with how they work;
- introduce malware or any harmful code;
- scrape, harvest or collect data from the Services by automated means, except for standard search engine indexing of public pages;
- submit false information or impersonate another person, veterinarian or organization;
- access another person's account or pet record without their permission.
10. Third-party sites and services
The Services link to third-party websites and services, including food manufacturers and retailers. We do not control them and are not responsible for their content, products, availability or practices. Your use of them, and any purchase you make from them, is governed by their own terms.
11. Disclaimer of warranties
THE SERVICES AND THEIR CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, VETNEXUS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT PROMISE THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, OR THAT ANY FOOD WILL PRODUCE A PARTICULAR RESULT FOR YOUR PET.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VETNEXUS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, ARISING FROM YOUR USE OF THE SERVICES OR THEIR CONTENT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) AND THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM. Some places do not allow these limits, so they may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless VetNexus and its officers, employees and agents from claims, losses and expenses, including reasonable attorneys' fees, arising from your violation of these Terms or misuse of the Services.
14. Ending your use
You can stop using the Services and ask us to delete or anonymize your account at any time, as described in our Privacy Policy. We may suspend or close an account that breaks these Terms. We may change, suspend or discontinue any part of the Services; if we discontinue them, we will give reasonable notice so you can download your pet's record.
15. Changes to these Terms
We may update these Terms from time to time by posting a new version with a new effective date. If a change is material, we will tell you in the app or by email and ask you to accept it before you continue; we will not quietly change the Terms you agreed to.
16. Governing law
These Terms are governed by the laws of the State of [state], without regard to conflict of law rules. Any dispute relating to the Services will be brought in the state or federal courts located in [county], [state], and you consent to their jurisdiction. This does not take away any right you have under the consumer protection laws of the place you live.
17. General
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms and the Privacy Policy are the entire agreement between you and VetNexus about the Services, and they do not change any signed agreement between VetNexus and a veterinary practice.
